Please read these Terms & Conditions ("Terms") carefully. By accessing the Site or purchasing our products ("Products"), you agree to these Terms in full. If you do not agree, you must not use the Site or our Products.

1. Overview and Acceptance of Terms

Parties

These Terms form a binding agreement between you ("you" or "the customer") and Serholt Holdings, LLC., including its subsidiaries, affiliates, successors, and assigns (collectively referred to as "Serholt Collection," "we," "us," or "our").

Legal Capacity and Minimum Age

By using our Site or ordering Products, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. Persons under 18 may browse the Site but may not make purchases. We do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete it promptly.

Acceptance by Conduct

By clicking "Pay now," completing a purchase, or otherwise submitting an order through our Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Refund Policy, Shipping Policy, and Privacy Policy, each of which is incorporated by reference into these Terms.

2. Use of the Website and Conduct

You agree to use our Site and any related services only for their intended purpose and in compliance with all applicable laws. Specifically, you will not:

• Use the Site for unlawful, fraudulent, or unauthorized purposes
• Infringe upon any intellectual property or privacy rights
• Engage in behavior that is harassing, defamatory, abusive, threatening, or discriminatory
• Introduce viruses, malicious code, or otherwise compromise the Site's security

3. Orders, Pricing, and Sales Terms

Orders and Acceptance

When you purchase a Product, you are making an offer to buy subject to these Terms. We reserve the right to refuse or cancel any order at our discretion (e.g., suspected unauthorized resellers or incorrect pricing).

Pricing and Product Information

• All prices are in U.S. dollars unless stated otherwise
• We strive for accurate product descriptions and pricing but may correct errors and update or cancel orders if inaccuracies occur

Payment

• By providing a payment method, you represent you are authorized to use it
• We (or our third-party payment processor) may charge your payment method for the full order amount, including taxes and shipping fees
• For made-to-order Products, full payment is collected at the time of order placement

Made-to-Order Products

Certain Products are made to order and hand-finished specifically for you. Made-to-order Products are subject to the following terms:

• Production timeline: Estimated lead times are listed on each product page (typically 8–26 weeks). These are estimates only and may vary based on materials, demand, and production schedules.
• Cancellation window: You may cancel a made-to-order order within 3 calendar days of placing it by contacting us at [email protected]. After this 3-day window, your order enters production and cannot be cancelled, modified, or refunded.
• Final sale: All made-to-order Products are considered final sale once the cancellation window has closed. No returns, exchanges, or refunds are available for made-to-order items, except in the case of manufacturing defects covered under warranty.
• Delays: If production is delayed beyond the estimated lead time by more than 4 weeks, we will notify you and offer the option to continue waiting or cancel for a full refund.

Gift Cards

• Gift cards are non-refundable and may not be exchanged for cash, except where required by applicable law (e.g., California Civil Code Section 1749.5 for balances under $10)
• Gift cards do not expire
• Serholt Collection is not responsible for lost, stolen, or unauthorized use of gift cards. Replacement cards may be issued at our sole discretion upon proof of purchase
• Gift cards may not be resold, transferred for value, or redeemed for cash except as required by law

Shipping and Delivery

• All shipments are subject to our Shipping Policy
• Title and risk of loss pass to you upon delivery to the carrier unless otherwise specified by law

International Orders

• International customers are responsible for all import duties, customs fees, VAT, and taxes imposed by their country of destination. These charges are not included in the purchase price and are not refundable by Serholt Collection
• If you refuse to pay import duties at delivery and the shipment is returned to us, we will refund the purchase price minus all shipping costs incurred
• If you are located in the European Union or United Kingdom, you may have additional cancellation rights under local consumer protection laws (such as the EU Consumer Rights Directive or UK Consumer Rights Act 2015) that may supersede the cancellation windows described in these Terms. Nothing in these Terms is intended to limit your statutory rights

Returns and Refunds

• Our Refund Policy governs returns and refunds
• A 20% restocking fee applies to all eligible returns
• The customer is responsible for return shipping costs
• Made-to-order Products are final sale and not eligible for returns
• You agree to review and comply with the Refund Policy if you wish to return a Product

No Unlawful or Unauthorized Resale

• Our Products are sold for personal, lawful use or for one-time gifts to end users
• You will not resell or distribute our Products without our explicit written consent

4. Product Use and Safety Guidelines

Proper Use

• Our rechargeable table lamps and accessories are designed for indoor and outdoor decorative lighting use
• Follow the care and charging instructions included with each Product
• Use only the charger, charging base, or charging station provided by or recommended by Serholt Collection

Battery and Electrical Safety

• Our Products contain rechargeable lithium-ion batteries. Do not expose Products to extreme heat, open flames, or direct prolonged sunlight
• Do not submerge Products in water beyond their rated IP protection level
• Do not attempt to replace, remove, or modify the internal battery
• Do not use third-party chargers or power adapters unless explicitly approved by Serholt Collection
• Dispose of Products in accordance with local regulations for electronic waste and lithium-ion batteries
• If a Product shows signs of swelling, overheating, or damage, discontinue use immediately and contact us

No Guarantee of Suitability for Every Scenario

• We do not guarantee the Product will meet every specific use case or expectation
• Please review product specifications, including IP ratings and battery life, before purchase

No Unauthorized Modifications

Disassembling, modifying internal components, or tampering with the battery or circuitry may create a safety hazard and will void the warranty.

Assumption of Risk

You assume all risks of use, except where caused directly by our gross negligence or willful misconduct.

Product Recalls

In the event of a product safety recall (including but not limited to battery-related recalls), Serholt Collection will comply with all applicable Consumer Product Safety Commission (CPSC) requirements and notify affected customers via email and/or the contact information on file. We will bear the cost of any recall remedy (repair, replacement, or refund) as required by law.

Warranty

Serholt Collection Products carry a limited manufacturer's warranty as specified on each product page (typically 2 years). The warranty covers defects in materials and workmanship under normal use. The warranty does not cover:

• Damage from misuse, neglect, accidents, or unauthorized modifications
• Normal wear and tear, including battery degradation over time
• Damage caused by use of unauthorized chargers or accessories
• Cosmetic damage that does not affect functionality

5. Intellectual Property Rights

Ownership and Copyright

• All site content (text, images, graphics, videos, code, etc.) is owned by or licensed to Serholt Holdings, LLC. and protected by U.S. and international copyright laws
• You may not reproduce or distribute our copyrighted materials without our written permission

Trade Name / Unregistered Trademark

• "Serholt Holdings, LLC." (and related logos or branding) is used as our business or trade name; we do not claim it as a registered trademark in all jurisdictions
• We reserve any common-law or unregistered trademark rights to the name "Serholt Holdings, LLC." or other marks used in commerce as permitted by law

Limited License

• We grant you a limited, revocable, non-exclusive license to access the Site for personal, non-commercial use
• You may not modify, sell, or exploit any portion of the Site or its content without express permission

User Content

• If you post reviews, comments, or other content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, transferable, perpetual, and irrevocable license to use, reproduce, modify, display, and distribute that content for business purposes, including marketing, advertising, and promotion across any media or platform
• We reserve the right to remove or edit any user-posted content at our discretion
• You represent that any content you post does not infringe the rights of any third party

DMCA / Copyright Complaints

If you believe content on our Site infringes your copyright, please send a written notice to [email protected] that includes: (1) identification of the copyrighted work, (2) identification of the infringing material and its location on the Site, (3) your contact information, (4) a statement that you have a good faith belief the use is not authorized, and (5) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf.

6. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Serholt Holdings, LLC. and its subsidiaries, affiliates, officers, directors, employees, agents, successors, and assigns from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your misuse of our Products
• Your breach of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party right (e.g., intellectual property)

This obligation survives the termination of these Terms and your use of the Site or Products. You expressly waive any rights under California Civil Code Section 1542 (or any similar statute in your jurisdiction), which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

7. Limited Warranty; Disclaimer of Additional Warranties

Express Limited Warranty

We provide the express limited warranty described in Section 4 above. Except for that express warranty, the following disclaimers apply.

Limitation of Implied Warranties

To the fullest extent permitted by law, any implied warranties (including merchantability, fitness for a particular purpose, and non-infringement) are limited in duration to the period of the express warranty (typically 2 years from the date of purchase). Some jurisdictions do not allow limitations on the duration of implied warranties, so this limitation may not apply to you.

Site Provided "As Available"

We do not warrant that the Site will be error-free, uninterrupted, or secure. The Site is provided on an "as available" basis.

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties, so the above may not fully apply to you. In such jurisdictions, our liability is limited to the minimum extent permitted by law.

8. Limitation of Liability

No Liability for Certain Damages

To the maximum extent permitted by law, Serholt Holdings, LLC. (including subsidiaries, affiliates, officers, directors, employees, agents, successors, and assigns) will not be liable for any indirect, incidental, special, consequential, or punitive damages (including personal injury, property damage, lost profits, lost data, or business interruption) arising out of or related to your use of the Site or Products.

Scope of Liability

• We are not liable for injuries or damages resulting from misuse, unauthorized modification, or improper maintenance of the Product
• We are not liable for damage caused by use of unauthorized chargers, accessories, or power sources

Cap on Liability

If, despite these disclaimers, Serholt Holdings, LLC. is found liable, our total liability to you will not exceed the amount you paid for the Product in question or one hundred U.S. dollars (USD $100), whichever is greater.

No Exclusion for Death or Personal Injury Where Prohibited

We do not exclude liability for death or personal injury resulting from our own negligence to the extent such exclusion is prohibited by law.

9. Third-Party Links

The Site may contain links to third-party websites or resources. We are not responsible for the content, products, services, or practices of any third-party site. You access third-party sites at your own risk, and any concerns regarding such sites should be directed to the site's administrator.

10. Force Majeure

Serholt Holdings, LLC. is not liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, labor disputes, supply chain disruptions, and failures or delays of carriers or communication systems. This includes delays in the production or delivery of made-to-order Products.

11. Dispute Resolution (Arbitration and Class Action Waiver)

ARBITRATION NOTICE: By agreeing to these Terms, you agree to resolve disputes through binding arbitration on an individual basis, rather than in court. You waive your right to a jury trial and to participate in class actions.

Agreement to Arbitrate

Except where prohibited by law, any dispute relating to these Terms or your use of our Site or Products will be resolved by binding arbitration on an individual basis. You waive your right to a jury trial.

Class Action Waiver

All disputes must be brought only in your individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party's individual claim(s).

Informal Resolution First

Before commencing arbitration, both parties agree to attempt to resolve any dispute informally. The initiating party must send written notice describing the dispute and desired resolution. The parties shall meet telephonically or via videoconference within 45 days to attempt resolution in good faith.

Arbitration Procedure

• Arbitration will be administered by the American Arbitration Association ("AAA"), following its Consumer Arbitration Rules
• Venue for arbitration is Sheridan, Wyoming, unless otherwise required by law
• The Federal Arbitration Act (9 U.S.C. Section 1 et seq.) governs the interpretation and enforcement of this arbitration provision

Costs of Arbitration

Filing fees and administrative costs shall be governed by the AAA Consumer Arbitration Rules. For claims under $10,000, Serholt Collection will pay all arbitration filing and administration fees beyond the initial consumer filing fee as set by the AAA. Each party shall bear its own attorneys' fees unless the arbitrator awards fees to the prevailing party as permitted by applicable law.

Exceptions

• You or we may bring claims in small claims court if they qualify
• We may seek injunctive relief for intellectual property matters in a court of competent jurisdiction

Opt-Out

You have 30 days from the date you first agree to these Terms to opt out of arbitration by sending written notice to [email protected] or by mail to: Serholt Holdings, LLC., 30 N Gould St, STE R, Sheridan, WY 82801, ATTN: Arbitration Opt-Out.

Severability of Arbitration Terms

If the class action waiver is deemed unenforceable, the entire arbitration provision is void, and disputes proceed in court. If any other part of this arbitration provision is found unenforceable, that part shall be severed and the remainder shall continue in full force and effect.

12. Statute of Limitations

To the fullest extent permitted by applicable law, any claim or cause of action arising under or related to these Terms, the Site, or your use of our Products must be filed within one (1) year after the cause of action accrues. Failure to file within this period constitutes a waiver of the claim. This limitation does not apply where prohibited by law.

13. Changes to Terms and Conditions

We may update these Terms at any time by posting a revised version on the Site and updating the "Effective Date." Material changes may also be communicated to you by email (if you have provided us one), but we are not obligated to do so. By continuing to use the Site or purchase our Products after changes are posted, you agree to the revised Terms. If you do not agree, you must stop using the Site and our Products.

14. Governing Law and Venue

These Terms and any separate agreements for purchase or use of our Products are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Subject to the Arbitration clause above, any non-arbitrable legal action must be brought exclusively in state or federal courts located in Sheridan County, Wyoming. You consent to such jurisdiction and venue.

15. Miscellaneous Provisions

Severability

If any part of these Terms is found invalid or unenforceable, that portion will be limited or severed, and the remainder will remain in effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver.

Entire Agreement

These Terms, along with the referenced policies, represent the entire agreement between you and Serholt Holdings, LLC. regarding your use of the Site and purchase of Products.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our written permission. We may assign our rights and obligations to an affiliate, subsidiary, or successor entity without restriction.

Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, or agency relationship.

Headings

Section headings are for convenience only and do not affect interpretation.

Electronic Communications

By using our Site or making purchases, you consent to receive electronic communications from us, satisfying any legal requirement for such communications to be in writing.
